Section 1

Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and Baol LLC ("Guest Player," "we," "us," or "our") governing your access to and use of the Guest Player Platform, including our website at guestplayer.org and any associated applications (collectively, the "Platform").

By creating an account, purchasing a subscription, or otherwise accessing the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you may not access or use the Platform.

Section 2

Eligibility

To register for an account on Guest Player you must:

• Be at least 18 years of age, or be the parent or legal guardian of a minor athlete you are registering on the Platform.
• Have the legal capacity to enter into a binding agreement.
• Not be prohibited from using the Platform under applicable law.

Minor athletes (under 18) may not create independent accounts. All minor athlete profiles must be created and managed by a parent or legal guardian. By registering a minor athlete, you represent that you are the parent or legal guardian of that athlete and that you accept these Terms on their behalf.

Section 3

Accounts

3.1 Registration

You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date. Inaccurate information — including misrepresenting a player's age, position, or skill level — may result in account suspension or termination.

3.2 Account security

You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You agree to notify us immediately at support@subinsports.com if you become aware of any unauthorised use of your account.

3.3 One account per person

Each individual may hold one account. Organisations (clubs) may hold an organisation account in addition to individual accounts for their coaches. Creating multiple accounts to circumvent subscription limits or platform restrictions is prohibited.

Section 4

Subscriptions & Billing

4.1 Plan types

Guest Player offers several subscription plans for players/parents and coaches/organisations, available as 2-week passes, season passes (approximately 3–4 months), and annual plans. Plan features, pricing, and availability are described on our pricing page.

4.2 Payment

Subscription fees are charged at the time of purchase. All payments are processed by Stripe. By providing payment information you authorise us to charge the applicable subscription fee. You represent that the payment method you provide is valid and that you are authorised to use it.

4.3 No automatic renewal

Our 2-week passes and season passes are one-time purchases and do not automatically renew. Annual plans may be set to auto-renew where indicated; you will receive a renewal reminder at least 14 days before any automatic charge. You may disable auto-renewal at any time from your account settings.

4.4 Founding member rate

Users who subscribe during our founding period are eligible for the founding member rate, which locks their plan price for as long as their account remains active. This rate applies to renewals of the same plan tier. Upgrading to a higher plan tier is governed by the pricing in effect at the time of upgrade.

4.5 Price changes

We reserve the right to change subscription prices. Price changes do not affect active subscriptions within their purchased access period. Founding members are protected from price increases as described in Section 4.4. All other users will receive at least 30 days' notice before a price increase takes effect.

Section 5

Refund Policy

All subscription purchases are final. We do not offer refunds except in the following circumstances:

• Duplicate charges: If you were charged more than once for the same subscription due to a technical error, we will refund the duplicate charge.
• Platform unavailability: If the Platform is unavailable for more than 72 consecutive hours during your active subscription period due to our error, we will provide a pro-rated credit or refund for the affected period.
• Erroneous charges: If you were charged for a plan you did not select or a price different from what was displayed at checkout, we will correct the charge.

To request a refund under one of the above circumstances, contact us at support@subinsports.com within 14 days of the charge with your order reference number.

Section 6

Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Provide false or misleading information in your profile, about athletes, or about your role on the Platform.
• Use the Platform to contact or solicit users for purposes unrelated to finding or filling guest player spots — including commercial solicitation, spam, or unsolicited advertising.
• Harass, threaten, intimidate, or harm other users.
• Share another user's contact information obtained through the Platform without their consent.
• Attempt to circumvent subscription limits or access features you have not paid for.
• Scrape, crawl, or systematically extract data from the Platform without written permission.
• Introduce viruses, malware, or other malicious code to the Platform.
• Attempt to gain unauthorised access to any part of the Platform or its infrastructure.
• Use the Platform in a way that could damage, disable, overburden, or impair it.
• Violate any applicable local, state, national, or international law or regulation.

We reserve the right to suspend or terminate accounts that violate these standards, with or without prior notice, at our sole discretion.

Section 7

User Content

7.1 Your content

"User Content" means any information, text, photos, or other material you submit to the Platform, including profile information, bios, photos, messages, and coach notes. You retain ownership of your User Content.

7.2 License to Guest Player

By submitting User Content, you grant Guest Player a non-exclusive, worldwide, royalty-free license to store, display, and transmit your User Content solely for the purpose of operating and providing the Platform. This license terminates when you delete your content or your account.

7.3 Content standards

You are solely responsible for your User Content. You represent that your User Content does not violate any law or the rights of any third party. You agree not to submit content that is defamatory, obscene, harassing, or that infringes any intellectual property right. We reserve the right to remove any User Content that violates these Terms.

Section 8

Connections & Messaging

The Platform facilitates connections between coaches and players. When a coach sends a connection request, the player or their parent/guardian receives a notification and must explicitly approve the request before contact information is shared. You agree to use the connection and messaging features only for their intended purpose — coordinating guest player appearances.

Guest Player does not screen, verify, or endorse any user. You are responsible for exercising appropriate judgment when connecting with other users. We strongly recommend that parents and guardians review all connection requests before approving them on behalf of minor athletes.

Section 9

Minor Athletes

Guest Player is designed to serve the travel youth sports community. We recognise the heightened responsibility that comes with a platform that involves children. By registering a minor athlete's profile, the parent or guardian account holder agrees to the following additional terms:

• You will review and approve all connection requests involving the minor athlete before any contact information is shared.
• You will ensure that any guest play arrangements you confirm are appropriate for the athlete's age, skill level, and physical wellbeing.
• You acknowledge that Guest Player does not conduct background checks on coaches or team managers, and that you are responsible for conducting your own due diligence.
• You will not list a minor athlete's profile as available without being prepared to respond promptly to connection requests.

Coaches and team managers agree not to contact minor athletes directly and to conduct all communication through the parent or guardian account holder.

Section 10

Intellectual Property

The Platform and its original content — including the Guest Player name, logo, design, software, text, graphics, and compilation — are the exclusive property of Baol LLC and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose during your subscription period. This license does not include the right to reproduce, distribute, modify, create derivative works of, publicly display, or reverse-engineer any part of the Platform.

Section 11

Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

Guest Player does not warrant that the Platform will meet your requirements, that results obtained from the Platform will be accurate or reliable, or that defects will be corrected. Guest Player is a technology platform that facilitates connections; we do not guarantee that any specific connection will result in a guest player placement.

Section 12

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Guest Player AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

IN NO EVENT SHALL Guest Player'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO Guest Player IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain liabilities, so some of the above limitations may not apply to you.

Section 13

Indemnification

You agree to defend, indemnify, and hold harmless Baol LLC and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

• Your use of the Platform.
• Your violation of these Terms.
• Your User Content.
• Your violation of any third party's rights, including any intellectual property, privacy, or other rights.
• Any harm caused to a minor athlete whose profile you manage.

Section 14

Termination

14.1 By you

You may delete your account at any time from your account settings. Deletion terminates your access to the Platform. Purchased subscription periods are not refunded upon voluntary account deletion except as described in Section 5.

14.2 By Guest Player

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms, that we believe is harmful to other users or the Platform, or for any other reason at our discretion. In cases of non-payment or technical issues, we will provide reasonable notice before termination where practicable.

14.3 Effect of termination

Upon termination, your right to use the Platform ceases immediately. Sections 7 (User Content license), 10 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 15 (Governing Law) survive termination.

Section 15

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, with proceedings conducted in New York, New York. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court to prevent irreparable harm pending arbitration.

Section 16

Changes to Terms

We may revise these Terms from time to time. When we make material changes we will update the "Last updated" date, notify registered users by email at least 14 days before the change takes effect, and display a prominent notice on the Platform.

Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of those Terms. If you do not agree to the revised Terms, you must stop using the Platform and may delete your account.
